5. COOKIES AND OTHER TRACKING TECHNOLOGIES
We may use cookies, embedded scripts, software development kits (“SDKs”) and other similar technologies to collect additional personal information automatically as you interact with the Service and to personalize your experience with our Service. To see how our Service is performing we sometimes use conversion beacons, tags, scripts and pixels, which fire a short line of code to tell us when you have clicked on a particular button or reached a particular page. 6. RETENTION
RS11 will retain any business data that you provide to us, or that we otherwise collect or receive, indefinitely. RS11 will retain your personal information only for as long as is necessary for the purposes set out in this Privacy Policy. We will retain and use your personal information to the extent necessary to comply with our legal obligations (for example, if we are required to retain your data or the information you provided to us to comply with applicable laws), resolve disputes and enforce our legal agreements and policies. We will retain your marketing contact information until you unsubscribe from our marketing communications. We will also retain Service usage data for internal analysis purposes.
7. COMMUNICATIONS PREFERENCES
In order to provide service to you, we may send you communications related to your transactions, security, or the administration of this website. By downloading and using our mobile applications, you may receive messages, reminders, offers, news, and information from RS11 within the mobile application itself. These “in-app” notifications are part of our mobile application’s functionality but can be adjusted using your device or app settings.
8. ACCESS, CORRECTION, AND DELETION OF YOUR PERSONAL INFORMATION
You have the right to access, correct, and delete your personal information that you shared with us on our Service. However, it is up to you to update it with any changes. In most cases, you can review and submit changes to your personal information by logging into the Service and visiting your account profile page.

12. CHILDREN’S PRIVACY
RS11 Service are not directed toward children under the age of 16, and we do not knowingly collect any personal information from children under the age of 16. If a child under 16 provided our Service with personal information, we ask that a parent or guardian contact us as described below so that we may promptly delete the child’s information from our record.

Mobile Text Messaging.
When downloading or using the App, you must provide a mobile phone number. You hereby certify that you are the account holder for any mobile phone number(s) you may supply to RS11. Message and data rates under your own plan with your phone carrier may apply for any text messages. You expressly agree to receive text messages and phone calls (from us or our third-party providers) to complete your registration and/or account creation for or to use our Service. If your mobile phone is off, out of range or subject to a variety of other conditions, you may not receive the message or messages may be delayed. These RS11 Terms of Service (“Terms of Service”) apply when you access, use or visit the website at https://rs11.com (the “Site”) or the RS11 mobile application (the “App”) that is provided by RS11 Inc. (referred to in these Terms of Service as “the Company,” “we”, “us”, and “our”) and the services, content and other materials made available through the App (these services, content, and materials, together with the Site and App, are referred to in these Terms of Service as the “Service”). We prepared these Terms of Service to help explain the terms that apply to your use of the Service.
Please read these terms of service Carefully. BY Clicking “Accept “ and/Or ACCESSING OR OTHERWISE USING THE Service, YOU AGREE TO THESE TERMS of Service. If at any time you do not accept the terms and conditions set forth in these Terms of Service, you must immediately stop using the Service.
Notice regarding arbitration and dispute resolution: you and the Company AGREE THAT Any future DISPUTES BETWEEN YOU AND the Company WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION, unless you opt-out in accordance with Section 13.6. Unless you opt-out of arbitration, YOU ARE WAIVING YOUR RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR REPRESENTATIVE PROCEEDING, and you will only be permitted to seek relief (including monetary, injunctive, and declaratory relief) on an individual basis. IF YOU WISH TO OPT OUT OF ARBITRATION, FOLLOW THE OPT-OUT PROCEDURE SPECIFIED IN Section 13.6 BELOW.
1. Description of the Service. The Service is a technology platform that enables businesses and organizations to share and receive business and market data and community news and information. The Service is intended to facilitate industry and community insights, intelligence, and efficiency through data sharing.
2. Updates to these Terms of Service. We may, at any time in our sole discretion, change, modify or amend these Terms of Service from time to time. If we make a material change to these Terms of Service, we will provide you with at least thirty (30) days’ notice prior to the effective date of the changes by sending an email to the email address we have on file and by posting revised Terms of Service through the Service. You are therefore required to provide your email address to use the Service, and it is important that you ensure that your email and account information is up to date. If you do not agree with the proposed changes, you must terminate your account and discontinue your use of the Service prior to the time the new Terms of Service take effect. If you continue using the Service after the new Terms of Service take effect, you will be bound by the modified Terms of Service.
3. Privacy Policy. In connection with your use of the Service, please review our Privacy Policy, located at rs.11.com/privacy, to understand how we use information we collect from you when you access, visit, or use the Service. The Privacy Policy is part of and is governed by these Terms of Service and by agreeing to these Terms of Service, you agree to be bound by the terms of the Privacy Policy and agree that we may use information collected from you in accordance with its terms.
4. Affirmative Representations Regarding Your Use of the Service. When you use the Service, you represent that: (A) the information you submit to the Service is truthful and accurate; (B) your use of the Service does not violate any applicable laws or regulations; and (C) you are of sufficient legal age or otherwise have legal capacity to legally enter into these Terms of Service.
5. Registration and Accounts
5.1. User Registration and Eligibility. By using the Service, you represent and warrant that you are 18 years or older and an owner of a business or organization, or a person affiliated with such a business or organization (for example, a manager or employee), or otherwise engaged in a profession or business enterprise. You will be required to register to use the Service and create a user account in accordance with Section 5.2(B) (a “User Account”) in order to access and use the Service. If you sign up to become a registered user of the Service, you agree: (A) to provide true, accurate, current and complete information about yourself as prompted by the Service’s registration process (the “Registration Data”); and (B) to maintain and promptly update the Registration Data to keep it true, accurate, current and complete.
5.2. Accounts.
A. Claiming a Business. If you own or control a business, or are an authorized representative of the owner of a business, you will be able to search for your business on our Service (if available) by using the “Find My Business” feature on our Service and claim your business. If you cannot locate your business on our Service, we may and at our sole discretion create or allow you to create your business profile on our Service upon your request. To claim your business or set up a business profile on our Service, you will be required to create a User Account in accordance with Section 5.2(B). You may also be required to verify your account in accordance with Section 5.3. If you are the owner or an authorized representative of the owner of a business, you will be able to invite employees and other authorized representatives from your business (each, an “Authorized User”) to use the Service. Users who are employees may also request access to the system by requesting authorization from you as the owner or authorized representative. In order to access and use the Service each Authorized User will also be required to create a User Account in accordance with Section 5.2(B). Once authorized, the Authorized User will only have access to the features and functionality that are made available through the Service in connection with the associated business and authorized level.
B. User Accounts. When you create a User Account on the Service you will be required to provide us with your email address, phone number, and street address, and to create a password that will be associated with your User Account. Your email address will function as your user I.D. You may only create one User Account that will be associated with your email address. You may not: (i) select or use a name of another person with the intent to impersonate that person; (ii) use a name of a person other than you without appropriate authorization; or (iii) use a name or word that is otherwise offensive, vulgar or obscene. We reserve the right to refuse registration of, or to cancel, a User Account, in our sole discretion.
C. Keeping Your Account Secure. You are responsible for keeping your device and your User Account safe and secure, and for maintaining the confidentiality of your user password, and any and all activities that occur under your account. We expressly disclaim any liability arising from the unauthorized use of your account. You must notify us promptly of any actual or suspected unauthorized use or security breach of your account or our Services.
5.3. Verification. You agree we can verify, but do not have the obligation to verify, that you are associated with the business you specify during the registration process by using geolocation tools to ensure that you are located at or near the premises of the specified business, calling the business phone number that is associated with the specified business, sending you a verification code, and/or such other verification methods that we may, in our discretion, implement from time to time. You expressly agree to receive emails, text messages and phone calls (from us or our third-party providers) to provide verification codes or request information from you to complete your registration for our Services.
5.4. Third Party App Store. You acknowledge and agree that the availability of the App may be dependent on third party websites or mobile applications from which you download the App (e.g., the Apple App Store or Google Play Store) (each a “Third Party App Store”). You acknowledge that these Terms of Service are between you and the Company and not with the applicable Third Party App Store. Each Third Party App Store may have its own terms and conditions to which you must agree before downloading the App from it. You agree to comply with, and your license to use the App is conditioned upon, your compliance with the applicable Third Party App Store terms and conditions. To the extent that other terms and conditions from the applicable Third Party App Store are less restrictive than, or otherwise conflict with, these Terms of Service, the more restrictive or conflicting terms and conditions in these Terms of Service will apply.
5.5. License to Use the Service. Subject to verification of your user account in accordance with Section 5.3, and, if applicable, your payment of the fees that are applicable to your use of the Service as further described in Section 6 below, the Company grants you a limited, revocable, non-exclusive, non-transferable right to receive, access and use the Service for your internal business purposes.
6. Subscriptions and Payments
6.1. Free Access. If you have been offered free access to the Service you will not be charged for use of the Service, but you will not be able to access all features and functionality made available through the Service. If you want access to additional features and functionality on the Service, you may upgrade to a paid subscription plan as described in this Section 6.
6.2. Subscription Plans. If you sign up for a paid subscription to use the Service, to the extent subscription-based plans are offered by the Service, you will be required to select a desired subscription plan (“Subscription Plan”). The details of each Subscription Plan, including pricing and the features and functionality provided as part of the applicable Subscription Plan, will be made available to you on the Service at the time you elect to sign up for a Subscription Plan. We will charge the applicable fees for the Subscription Plan you select through a Third Party App Store, or through a payment portal provided by a third-party service, or to a payment account that you provide to us. If fees are paid for and/or collected through a Third Party App Store or other third-party vendor, your payment information will be stored with the applicable third-party service. Fees will be charged on a monthly basis or other applicable recurring period depending on the selected Subscription Plan (each, a “Subscription Period"). We will continue to charge your payment account at the beginning of the applicable Subscription Period unless you cancel your Subscription Plan in accordance with Section 6.4 below.
6.3. Automatic Renewal. Subscription Plans will automatically renew for recurring periods equal to the Subscription Period, and, as authorized by you by agreeing to the automatic renewal of your Subscription Plan during the sign-up process, unless you cancel your Subscription Plan in accordance with Section 6.4 below. At the time of the automatic renewal, the applicable subscription or other fees will be charged to the payment method provided and/or associated with your account, or you will be invoiced for payment.
EXCEPT AS OTHERWISE PROVIDED IN A WRITTEN AGREEMENT BETWEEN YOU AND the Company, YOU ACKNOWLEDGE AND AGREE THAT IF YOU HAVE A PAID SUBSCRIPTION, YOUR PAID SUBSCRIPTION WILL AUTOMATICALLY RENEW UNLESS YOU CANCEL IT OR WE SUSPEND OR TERMINATE IT IN ACCORDANCE WITH THESE TERMS OF SERVICE.
6.4. Subscription Plan Cancellation. For paid Subscription Plans, subject to requirements of applicable law, you may cancel at any time at least ten (10) business days prior to the beginning of the next Subscription Period by accessing your User Account to cancel your subscription or contacting us at support@rs11.com. Please make sure to cancel your Subscription Plan prior to your next Subscription Period to avoid any unwanted charges. Your Subscription Plan will be cancelled effective at the end of the current Subscription Period, and you will lose access to the additional features and functionality on the Service that are provided with your subscription, but you will continue to have access to the features and functionality that are provided for free. You agree and accept that you will not receive any refund for the current Subscription Period during which you request a cancellation, and that the cancellation request shall become effective at the end of the Subscription Period in which the cancellation request is received by the Company as required pursuant to this Section 6.4.
7. Prohibited Activities. You agree that, in connection with your use of the Service, you will not:
· use the Service for any unauthorized purpose including collecting usernames and/or email addresses of other users by electronic or other means for the purpose of sending unsolicited email or other electronic communications, or engaging in unauthorized framing of, or linking to, the Service without our express written consent;
· transmit chain letters, bulk or junk email or interfere with, disrupt, or create an undue burden on the Service or the networks or services connected to the Service, including without limitation, hacking into the Service;
· transmit any virus, other computer instruction, or technological means intended to, or that may, disrupt, damage, or interfere with the use of computers or related systems;
· impersonate any other person or entity, provide false or misleading identification or address information, or invade the privacy, or violate the personal or proprietary right, of any person or entity;
· post on the Service any franchise, pyramid scheme, “club membership,” distributorship or sales representative agency arrangement or other business opportunity which requires an up-front or periodic payment, pays commissions, or requires recruitment of other members, sub-distributors or sub-agents;
· violate our or any other person’s rights, including privacy rights, publicity rights, intellectual property rights (including without limitation copyrights) or contract rights;
· violate applicable laws, rules or regulations;
· create accounts for the Services through unauthorized or automated means;
· gain or attempt to gain unauthorized access to our Services or systems;
· misuse passwords, or gain unauthorized access another user’s account;
· participate in any fraudulent or illegal activity, including phishing, money laundering, or fraud;
· use spyware to collect data from the Service, including from any user of our Service;
· access or use the Service for purposes of obtaining information to build a similar or competitive website, application or service;
· decompile, disassemble, modify, translate, adapt, reverse engineer, create derivative works or extract code from, or sublicense the Service, or any portion thereof; or
· circumvent, disable or otherwise interfere with security related features of the Service or features that prevent or restrict use or copying of any Company Content (as defined in Section 10) or enforce limitations on use of the Service or the Company Content on the Service; or
· impair, interfere with, disrupt or hamper our normal business operations.
8. User Content.
8.1. Rules Governing User Content. You are solely responsible for all information, data, text, graphics, messages or other materials that you upload, submit, post, publish or display, email or otherwise provide in connection with the Service (“User Content”). With respect to the User Content you provide in connection with the Service, you represent and warrant that you will not provide any User Content that:
· violate, misappropriate, or infringe our rights, or the rights of our users, or others, including any intellectual property, privacy, publicity, or other proprietary rights of any party;
· you do not have a right to provide under any law or under contractual or fiduciary relationships;
· contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
· poses or creates a privacy or security risk to any person;
· constitutes unsolicited or unauthorized advertising, promotional materials, commercial activities and/or sales, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” “contests,” “sweepstakes,” or any other form of solicitation;
· is unlawful, harmful, threatening, abusive, harassing, tortious, excessively violent, defamatory, vulgar, obscene, pornographic, libelous, invasive of another’s privacy, hateful or racially, ethnically or otherwise objectionable or offensive; or
· is objectionable or which restricts or inhibits any other person from using or enjoying the Service, , or instigate or encourage conduct that would be illegal or otherwise inappropriate, including promoting violent crimes, or which may expose Service or its users to any harm or liability of any type.
8.2. Rights in User Content.
A. Ownership of User Content. We do not claim any ownership rights in the User Content that you post on or through the Service. After posting your User Content on or through the Service, you continue to retain any rights you may have in your User Content, including any intellectual property rights or other proprietary rights associated with your User Content, subject to the license you grant to us in Section 8.2(B) below.
B. License to User Content. By providing User Content in connection with the Service, you grant us a perpetual, non-exclusive, fully-paid, royalty-free, sublicensable, transferable and worldwide license to use, modify, create derivative works of, publicly perform, display, publish, translate, adapt, reproduce, disseminate, market, distribute and otherwise exploit the User Content in connection with the Service, our products, our business, or the promotion of the Service, our products, or our business, in any media formats and through any media channels now known or subsequently created. The license granted under this Section 8.2(B) includes, without limitation, the right to share your User Content with other users of the Service, including users that may be your business competitors.
C. Removal of User Content. You acknowledge that the Company does not pre-screen User Content that you or other users provide through the Service, but that the Company will have the right (but not the obligation) to refuse or remove any User Content that is provided through the Service. Without limiting the foregoing, the Company will have the right to remove any User Content that violates these Terms of Service or is deemed by the Company to be otherwise inaccurate or objectionable. You agree that you must evaluate, and bear all risks associated with providing User Content through the Service.
8.3. Claims of Copyright and Other Intellectual Property Infringements.
A. Copyright and Intellectual Property Infringement Policy. The Company respects the intellectual property of others and takes the protection of intellectual property very seriously. We ask you to do the same. Infringing activity will not be tolerated on or through the Service. Please review our Copyright and Intellectual Property Infringement Policy for more information about how you can notify us if you think content on the Service infringes your or a third party’s rights, and how we address potentially infringing content.
B. Repeat Infringer Policy. We will (i) remove or disable access to material made available on or through the Service that the Company believes in good faith, upon notice from an intellectual property owner or his or her agent, to be infringing the intellectual property of a third party by being made available through the Service; and (ii) remove any User Content uploaded to the Service by “repeat infringers.” The Company considers a “repeat infringer” to be any User that has Posted User Content and for whom the Company has received more than two takedown notices compliant with the provisions of 17 U.S.C. § 512 with respect to such User Content. The Company has discretion, however, to terminate the account of any User after receipt of a single notification of claimed infringement or upon our own determination.
9. Third Party Content; No Independent Verification of Content. In addition to User Content, the Company may source information provided through the Service from third parties, such as company information and market and pricing data (“Third Party Content”). The Company does not independently verify the information provided as part of this Third Party Content or User Content, and the Third Party Content and User Content is provided to you for general informational purposes only. You acknowledge and agree that by providing the Third Party Content and User Content through the Service, you are solely responsible for any business or other decisions you make in reliance on the Third Party Content and/or User Content made available through the Service.
10. Our Intellectual Property Rights. Except with respect to your User Content and the User Content of other users of the Service, and Third Party Content, we own (and you acknowledge that we own) all right, title, and interest in and to: (A) the Service and all related intellectual property, including copyrights, patents, trade dress, the “look and feel” of the Service and all software, ideas, processes, data, designs, domains, text, media, and other content and information available on the Service (individually and collectively, “Company Content”); and (B) our trademarks, logos, and brand elements (“Marks”). The Service, Company Content, and Marks are each protected under U.S. and international laws. You may not duplicate, copy, or reuse any portion of Company Content or use the Marks without our prior express written consent. We reserve all rights in and to the Service, the Company Content and the Marks.
11. Our Management of the Service; User Misconduct
11.1. Our Right to Manage the Service. We reserve the right, but do not undertake the obligation to: (A) monitor or review the Service for violations of these Terms of Service and for compliance with our policies; (B) report to law enforcement authorities and/or take legal action against anyone who violates these Terms of Service; (C) refuse, restrict access to or the availability of, or remove, delete, edit or disable (to the extent technologically feasible) any or all features or functionality of the Services at any time with or without notice, and any User Content or any portion thereof; (D) manage the Service in a manner designed to protect our, our users’, and third parties’ rights and property or to facilitate the proper functioning of the Service; and/or (E) terminate, suspend, or block you your use of the Service for violating these Terms of Service or otherwise as we may determine is necessary. If we terminate or disable your account for a violation of these Terms, you will not be allowed to create another account without our permission.
11.2. Interactions with other Users. Some features of the Service may allow you to interact with other users of the Service. You are solely responsible for your interactions with other users of the Service. Please note that there are risks that may arise when dealing with strangers, including persons who may be acting under false pretenses. Please choose carefully the information you post on the Service and that you give to other users of the Service. You are discouraged from publicly posting your personal telephone number, street address, or other personal or sensitive information. Information posted to the Service by other users of the Service may be offensive, harmful or inaccurate, and in some cases may be mislabeled or deceptively labeled. You assume all risks associated with dealing with other users with whom you come in contact through the Service. Opinions and other statements included in User Content do not represent the opinions or statements of the Company and the posting of User Content on the Service does not constitute the Company’s support or endorsement of any opinions or statements expressed in the applicable User Content.
11.3. Our Right to Terminate Users. WITHOUT LIMITING ANY OTHER PROVISION OF these Terms of Service or any remedy we may have under law or in equity, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION, AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND DENY USE OF User Content or the Service TO ANY PERSON AND TO ANY ACCOUNT FOR ANY REASON OR FOR NO REASON AT ALL, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY OR COVENANT CONTAINED IN these Terms of Service, OR OF ANY APPLICABLE LAW OR REGULATION. YOU AGREE THAT WE ARE NOT LIABLE TO YOU OR ANY THIRD PARTY FOR ANY MODIFICATION, SUSPENSION OR DISCONTINUANCE OF THE SERVICES, IN WHOLE OR IN PART.

The Service may contain links to websites operated by third parties, such as third party social media services (“Third Party Sites”); however, we do not own or operate the Third Party Sites, and we have not reviewed, and cannot review, all of the material, including products or services, made available through Third Party Sites. The availability of these links on the Service does not represent, warrant or imply that we endorse any Third Party Sites or any materials, opinions, products or services available on them. The Company has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any Third Party Site. You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any content, goods or services, available on or through any applicable Third Party Site. Third party materials accessed through or used by means of the Third Party Sites may also be protected by copyright and other intellectual property laws. 13. Legal Disputes and Arbitration Agreement
Please Read This Following Clause Carefully – It May Significantly Affect Your Legal Rights, Including Your Right to File a Lawsuit in Court
13.1. Initial Dispute Resolution. We are available by email at support@rs11.com to address any concerns you may have regarding your use of the Service. Most concerns may be quickly resolved in this manner. Each of you and we agree to use best efforts to settle any dispute, claim, question, or disagreement directly through consultation and good faith negotiations which shall be a precondition to either party initiating a lawsuit or arbitration.
13.2. Agreement to Binding Arbitration. If we do not reach an agreed upon solution within a period of thirty (30) days from the time informal dispute resolution is pursued pursuant to Section 13.1 above, then either party may initiate binding arbitration. All claims arising out of or relating to these Terms of Service (including their formation, performance and breach), the parties’ relationship with each other and/or your use of the Service shall be finally settled by binding arbitration administered by JAMS, in accordance with the JAMS Streamlined Arbitration Rules and Procedures, excluding any rules or procedures governing or permitting class actions. Each party will have the right to use legal counsel in connection with arbitration at its own expense. The parties shall select a single neutral arbitrator in accordance with the JAMS Streamlined Arbitration Rules and Procedures. The arbitrator, and not any federal, state or local court or agency, shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability or formation of these Terms of Service, including, but not limited to, any claim that all or any part of these Terms of Service is void or voidable. You or we may elect to appear at the arbitration by phone or, if you and we both agree, to conduct it online, in lieu of appearing live. The arbitrator shall be empowered to grant whatever relief would be available in a court under law or in equity. The arbitrator’s award shall be final and in writing and provide a statement of the essential findings and conclusions, shall be binding on the parties and may be entered as a judgment in any court of competent jurisdiction. The interpretation and enforcement of these Terms of Service shall be subject to the Federal Arbitration Act.

If you seek damages for less than $50,000 and you initiate arbitration, to the extent the filing fee for the arbitration exceeds Two Hundred and Fifty U.S. Dollars ($250.00), we will pay the additional cost. If we are required to pay the additional cost of the filing fees, you should submit a request for payment of fees to JAMS along with your form for initiating the arbitration, and we will make arrangements to pay all necessary fees directly to JAMS. We will also be responsible for paying all other arbitration costs arising in connection with the arbitration, other than costs incurred by you for legal counsel, travel and other out-of-pocket costs and expenses not constituting fees or amounts payable to JAMS. You will not be required to pay fees and costs incurred by us if you do not prevail in arbitration. We will also pay JAMS to reimburse you for any portion of the $250 filing fee that is more than what you would otherwise have to pay to file suit in a court of law. You acknowledge and understand that, in some instances, the costs of arbitration could exceed the costs of litigation.
The parties understand that, absent this mandatory provision, they would have the right to sue in court and have a jury trial. Unless you elect to opt out in accordance with section 13.6 below, neither you nor we will have the right to litigate that claim in court or have a jury trial on that claim, or to engage in discovery except as provided by the JAMS rules. The parties understand that the right to discovery may be more limited in arbitration than in court. Further, you will not have the right to participate as a member of any class of claimants pertaining to any claim subject to arbitration. The arbitrator shall not conduct a class arbitration. Except as set forth below, the arbitrator’s decision will be final and binding. Other rights that you would have if you went to court also may not be available in arbitration.
13.3. Class Action and Class Arbitration Waiver. You and we each further agree that any arbitration shall be conducted in our respective individual capacities only and not as a class action, and you and we each expressly waive our respective right to file a class action or seek relief on a class basis. If any court or arbitrator determines that the class action waiver set forth in this paragraph is void or unenforceable for any reason or that an arbitration can proceed on a class basis, then the arbitration provision set forth above in Section 13.2 shall be deemed null and void in its entirety and the parties shall be deemed to have not agreed to arbitrate disputes.
13.4. Exception - Small Claims Court Claims. Notwithstanding the parties’ agreement to resolve all disputes through arbitration, either party may seek relief in a small claims court for disputes or claims within the scope of that court’s jurisdiction.
13.5. Exception – California Private Attorneys General Act (PAGA) Action. Notwithstanding the parties’ agreement to resolve all disputes through arbitration, either party may seek relief in a court of law for a claim arising under California’s Private Attorneys General Act.
13.6. 30 Day Right to Opt-Out. You have the right to opt-out and not be bound by the arbitration and class action waiver provisions set forth in Sections 13.2 and 13.3 by sending written notice of your decision to opt-out by emailing us at support@rs11.com. The notice must be sent within thirty (30) days of your initial use of the Service, otherwise you shall be bound to arbitrate disputes in accordance with the terms of those sections. If you opt-out of these arbitration provisions, we also will not be bound by them.
13.7. Exclusive Venue for Litigation. To the extent that the arbitration provisions set forth in Section 13.2 do not apply, or if you have opted out of arbitration, the parties agree that any litigation between them shall be filed exclusively in state or federal courts located in the County of Santa Clara, California (except for small claims court actions which may be brought in the county where you reside). In the event of litigation relating to these Terms of Service or the Service, the parties agree to waive, to the maximum extent permitted by law, any right to a jury trial.
13.8. Survival. The arbitration provisions set forth in this section 13 shall survive termination of your use of the Services.

BY OPERATING the Service, WE DO NOT REPRESENT OR IMPLY THAT WE ENDORSE Any Content, MATERIAL OR ITEMS AVAILABLE ON OR LINKED TO BY the Service, INCLUDING WITHOUT LIMITATION, CONTENT HOSTED ON THIRD PARTY SITES, OR THAT WE BELIEVE the company content, user Content, Third Party Content, and/or OR ANY OTHER CONTENT, MATERIAL OR ITEMS TO BE ACCURATE, USEFUL OR NON-HARMFUL. WE CANNOT GUARANTEE AND DO NOT PROMISE ANY SPECIFIC RESULTS FROM USE OF the Service. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN these Terms of SErvice. YOU AGREE THAT YOUR USE OF The Service WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE AND EACH OF OUR Affiliates, ADVERTISERS, LICENSORS, SUPPLIERS, OFFICERS, DIRECTORS, INVESTORS, EMPLOYEES, AGENTS, SERVICE PROVIDERS AND OTHER CONTRACTORS DISCLAIM ALL WARRANTIES AND REPRESENTATIONS, EXPRESS OR IMPLIED, IN CONNECTION WITH the Service AND YOUR USE THEREOF.
(B) to the extent permitted by applicable law, WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY, RELIABILITY, TIMELINESS OR COMPLETENESS OF the Service, the Company Content, user Content, Third Party cOntent, and/or ANY OTHER content, MATERIAL OR ITEMS ON the service OR LINKED TO BY the Service. WE ASSUME NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES OR INACCURACIES OF CONTENT, MATERIAL OR ITEMS (for clarity, on or off the service), (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF the SERVICE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED on our service, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM the service, (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH the service BY ANY THIRD PARTY, AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT, MATERIAL or itemS OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT, material or items (including without limitation Company Content) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE through the Service. WE DO NOT REPRESENT OR WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, SAFE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED OR THAT OUR SERVICES WILL FUNCTION WITHOUT DISRUPTIONS, DELAYS, OR IMPERFECTIONS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND FREEDOM FROM DEFECTS, COMPUTER VIRUSES OR OTHER HARMFUL CODE OR COMPONENTS WITH REGARD TO THE SERVICES. 14.2. Limited Liability. to the FULLEST extent permitted by applicable law, IN NO EVENT SHALL WE, OUR OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, VENDORS, SERVICE PROVIDERS, AFFILIATES OR AGENTS (“rEPRESENTATIVES”) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES, SAVINGS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING FROM OR RELATING TO YOUR USE OF the Service, Company Content, user Content, Third Party cOntent, and/or NY OTHER CONTENT, material or items on the SErvice. THIS SECTION SHALL APPLY EVEN IF WE AND/OR ANY OF OUR REPRESENTATIVES are FOUND LIABLE FOR ANY LOSS OR DAMAGE ARISING OUT OF (A) ANY TRANSACTION CONDUCTED THROUGH OR FACILITATED BY THE SERVICES; (B) ANY CLAIM, COMPLAINT, CAUSE OF ACTION, CONTROVERSY, OR DISPUTE ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE SERVICES DESCRIBED OR PROVIDED, OR DUE TO BREACH OF CONTRACT, BREACH OF EXPRESS OR IMPLIED OR LIMITED WARRANTY, NEGLIGENCE OF ANY KIND OR DEGREE, SUBROGATION, INDEMNIFICATION OR CONTRIBUTION, STRICT PRODUCT LIABILITY, (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, OR (D) ANY OTHER LEGAL THEORY OF LIABILITY OR MATTER RELATING TO THE SERVICES DESCRIBED OR PROVIDED, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN THOSE STATES OR JURISDICTIONS WHERE THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES MAY NOT APPLY, ANY LIABILITY OF US OR OUR REPRESENTATIVES IN THOSE STATES IS LIMITED AND WARRANTIES ARE EXCLUDED TO THE GREATEST EXTENT PERMITTED BY LAW.
15. Indemnity. You agree that you are personally responsible for your conduct while using the Services, and you agree to indemnify, defend and hold us and our affiliates and each of our and their respective licensors, suppliers, officers, directors, investors, employees, agents, service providers and other contractors harmless from any claim, demand, losses, expenses, liabilities, damages and costs including, without limitation, reasonable legal fees, arising out of or in connection with your User Content, your interactions with any other user of the Service, or your violation of these Terms of Service and/or the terms and conditions that are applicable to your use of Third Party Sites. You will not be required to indemnify and hold us or any other indemnified party harmless from and against any applicable claims or demands to the extent resulting from the Company’s own negligent conduct.
16. Notice to California Users. 17. Independent Contractors. Nothing in these Terms of Service shall be deemed to create an agency, partnership, joint venture, employer-employee or franchisor-franchisee relationship of any kind between us and any user.
18. Non-Waiver. Our failure to exercise or enforce any right or provision of these Terms of Service shall not operate as a waiver of the applicable right or provision.
19. Severability. These Terms of Service operate to the fullest extent permissible by law. If any provision or part of a provision of these Terms of Service is unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms of Service and shall not affect the validity and enforceability of any remaining provisions.
20. Assignment. We may assign our rights under these Terms of Service without your approval and with or without notice to you.
21. No Modifications by Our unauthorized Employees. If any of our employees, who are not authorized to do so, offers to modify the terms of these Terms of Service, he or she is not acting as an agent for us or speaking on our behalf. You may not rely, and should not act in reliance on, any statement or communication from our unauthorized employees or anyone else purporting to act on our behalf.
22. Survival. The following provisions will survive any termination of these Terms of Service or your relationship with the Company: “Updates to these Terms of Service” (Section 2); “Legal Disputes and Arbitration Agreement” (Section 13); “Warranty Disclaimer; Limitation on Liability (Section 14); and “Indemnity” (Section 15).
